Bu sözleşme, Tworks Bilişim Hizmetleri Tic. Ltd. Şti. ("Tworks") tarafından sunulan Controlio Security® platformunun kullanımını düzenler. Platform'un fikri ve sınai mülkiyet hakları, Tworks'e münhasır ticari lisans veren ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti.'ne ("Lisans Veren") aittir. Platformu kullanarak bu koşulları kabul etmiş sayılırsınız.
01Tanımlar
"Platform", controlio.ai adresinden erişilebilen Controlio Security uygulamasını; "Kullanıcı", Platform'a Microsoft 365 hesabıyla giriş yapan gerçek veya tüzel kişiyi; "Hizmet Sağlayıcı" / "Tworks", Kullanıcı ile sözleşmesel ilişkinin tarafı olan Tworks Bilişim Hizmetleri Tic. Ltd. Şti.'ni; "Lisans Veren" / "ÇEBİ Yazılım", Platform'un fikri mülkiyet sahibi olan ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti.'ni ifade eder. Tworks, ÇEBİ Yazılım'dan aldığı münhasır ticari lisans çerçevesinde Platform'u Kullanıcı'ya sunmaktadır.
02Hizmetin Kapsamı
Controlio Security, Microsoft 365 ortamlarının siber güvenlik denetimini gerçekleştiren bir SaaS platformudur. Platform; CIS, NIST, ISO 27001, Microsoft Security Baseline ve diğer çerçevelere göre otomatik güvenlik değerlendirmesi yapar. Sonuçlar yalnızca bilgilendirme amaçlıdır ve bağlayıcı bir güvenlik denetimi yerine geçmez.
03Hesap ve Erişim
Platform'a erişim Microsoft Entra ID (Azure AD) üzerinden sağlanır. Kullanıcı, kendi Microsoft 365 kimlik bilgilerinin güvenliğinden sorumludur. Platform, Kullanıcı'nın yetkilendirdiği Microsoft Graph API izinleri aracılığıyla verilere salt okunur (read-only) erişim sağlar. Hiçbir veri değiştirilmez, silinmez veya oluşturulmaz.
04Veri İşleme ve Güvenlik
Platform tarafından işlenen veriler Microsoft Azure bulut altyapısında barındırılır. Tarama sonuçları Kullanıcı'nın tenant'ına ait olup yalnızca ilgili hesap tarafından erişilebilir. KVKK kapsamında veri sorumlusu sıfatı Tworks'e aittir. Veri işleme detayları için Gizlilik Politikası sayfamızı inceleyiniz.
05Yasak Kullanımlar
Kullanıcı, Platform'u yasalara, dürüstlük kurallarına ve bu sözleşmeye uygun şekilde kullanmayı kabul eder. Aşağıda sayılan fiiller — yazılı önceden onay alınmadıkça — kesinlikle yasaktır:
- Tersine mühendislik: Platform'un, ona ait kaynak kodunun veya algoritmalarının decompile, disassemble, deobfuscate edilmesi; herhangi bir yöntemle kaynak koda ulaşılmaya çalışılması.
- Türetme ve çoğaltma: Platform'un tamamının veya bir kısmının kopyalanması, çoğaltılması, türetilmiş eser oluşturulması, başka bir yazılıma entegre edilmesi.
- Teknik koruma önlemlerinin aşılması: Lisans doğrulama, yetkilendirme, oran sınırlaması (rate limiting), obfuscation veya minification gibi teknik korumaların devre dışı bırakılması veya atlatılması.
- Yetkisiz erişim ve güvenlik testleri: Tworks'ün yazılı izni olmaksızın penetrasyon testi, güvenlik açığı taraması, fuzzing, yük testi yapılması veya başka kullanıcıların verilerine erişilmeye çalışılması.
- Otomatik veri toplama: Bot, crawler, scraper veya benzeri otomatik araçlarla Platform'dan veri çıkarılması; API'lerin amaç dışı veya aşırı kullanımı.
- Ticari yeniden dağıtım: Platform'un üçüncü taraflara alt lisanslanması, kiralanması, satılması, beyaz etiket (white-label) sunulması veya hizmet olarak yeniden paketlenmesi.
- Rakip ürün geliştirme: Platform'un veya çıktılarının, rakip bir ürün/hizmet geliştirmek amacıyla referans, eğitim verisi veya tasarım kaynağı olarak kullanılması.
- Marka ve telif bildirimlerinin kaldırılması: Platform üzerindeki marka, logo, telif veya patent bildirimlerinin kaldırılması, değiştirilmesi veya gizlenmesi.
- Kötüye kullanım: Platform'un yasa dışı içerik üretimi, kötü amaçlı yazılım dağıtımı, spam, dolandırıcılık veya üçüncü kişilerin haklarını ihlal eden faaliyetler için kullanılması.
Bu maddenin ihlali, ek tazminat hakları saklı kalmak üzere hesabın derhal askıya alınması veya feshi sebebidir.
06Fikri ve Sınai Mülkiyet Hakları
6.1 Mülkiyet
Controlio Security Platform'u ile ilgili tüm fikri ve sınai mülkiyet hakları — kaynak kodu, derlenmiş kod, kullanıcı arayüzü tasarımları, görsel öğeler, logo, ikonografi, renk paleti, tipografi seçimleri, mimari tasarım, veri modelleri, güvenlik kontrol katalogları (SP_MAP dahil), skorlama algoritmaları, çerçeve eşlemeleri (CIS, NIST, ISO 27001), dokümantasyon, eğitim materyalleri ve "look and feel" dahil ancak bunlarla sınırlı olmamak üzere — münhasıran ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti.'ne aittir. Tworks, ÇEBİ Yazılım'dan aldığı münhasır ticari lisans çerçevesinde Platform'u Kullanıcı'ya sunma, pazarlama ve destek verme yetkisine sahiptir. Platform; 5846 sayılı Fikir ve Sanat Eserleri Kanunu, 6769 sayılı Sınai Mülkiyet Kanunu ve uluslararası anlaşmalar kapsamında korunmaktadır.
6.2 Marka Hakları
"Controlio" ve "Controlio Security" isim, logo ve tasarım unsurları ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti. adına Türk Patent ve Marka Kurumu (TÜRKPATENT) nezdinde tescillidir veya tescil sürecindedir; Tworks bu markaları lisans hakkıyla kullanmaktadır. ® ve ™ sembollerinin kullanımı tescil durumuna bağlıdır. Bu markaların yazılı izin alınmadan kullanılması, taklit edilmesi, benzerlerinin tescil ettirilmeye çalışılması veya alan adı/sosyal medya hesaplarında benimsenmesi yasaktır.
6.3 Sınırlı Kullanım Lisansı
Tworks, Kullanıcı'ya bu sözleşmenin geçerli olduğu süre boyunca, satın alınan lisans planının kapsamıyla sınırlı olmak üzere; kişisel olmayan, münhasır olmayan, devredilemez, alt lisansı verilemez ve geri alınabilir bir kullanım hakkı tanır. Bu hak, sözleşmede açıkça izin verilenler dışında hiçbir hakkın devri anlamına gelmez. Açıkça verilmeyen tüm haklar ÇEBİ Yazılım Hizmetleri'nde saklıdır.
6.4 Geri Bildirim ve Öneriler
Kullanıcı'nın Platform hakkında ilettiği her türlü geri bildirim, öneri, fikir, hata raporu veya iyileştirme talebi ("Geri Bildirim"); ek bir bedel veya yükümlülük doğurmaksızın, dünya çapında, süresiz, geri alınamaz ve royalty-free şekilde hem Tworks'e hem de ÇEBİ Yazılım Hizmetleri'ne devredilmiş sayılır. Tworks ve ÇEBİ Yazılım bu Geri Bildirim'i herhangi bir amaçla kullanma, ürünlerine entegre etme ve ticarileştirme hakkına sahiptir.
6.5 Ticari Sırlar
Platform'un kaynak kodu, mimarisi, henüz yayınlanmamış özellikleri, fiyatlandırma stratejisi, müşteri listeleri ve iç algoritmaları Türk Ticaret Kanunu ve haksız rekabet hükümleri kapsamında ticari sır niteliğindedir. Kullanıcı, Platform'u kullanırken farkına varabileceği ticari sır niteliğindeki bilgileri üçüncü kişilerle paylaşmamayı, kopyalamamayı ve kendi yararına kullanmamayı kabul eder.
6.6 Üçüncü Taraf Bileşenler
Platform, kendi lisans koşulları çerçevesinde kullanılan açık kaynak veya üçüncü taraf bileşenler içerebilir. Bu bileşenlerin lisans koşulları saklıdır ve Platform'un bütünü üzerindeki ÇEBİ Yazılım Hizmetleri haklarını etkilemez.
6.7 İhlal Halinde
Bu maddedeki hakların ihlali halinde ÇEBİ Yazılım Hizmetleri ve/veya Tworks; ihlalin durdurulması, men'i, sonuçlarının ortadan kaldırılması, maddi ve manevi tazminat dahil olmak üzere mevzuatın kendilerine tanıdığı tüm hukuki ve cezai yollara başvurma hakkını saklı tutar. Yazılım korsanlığı 5846 sayılı Kanun uyarınca cezai sorumluluk doğurur.
07Sorumluluk Sınırı
Platform "olduğu gibi" (as-is) sunulmaktadır. Tarama sonuçları bilgilendirme amaçlıdır ve tam güvenlik garantisi sağlamaz. Tworks, Platform'un kesintisiz veya hatasız çalışacağını taahhüt etmez. Platform kullanımından doğabilecek doğrudan veya dolaylı zararlardan Tworks'ün sorumluluğu, Kullanıcı'nın ödediği son 12 aylık hizmet bedeli ile sınırlıdır. ÇEBİ Yazılım Hizmetleri, Kullanıcı ile sözleşme tarafı olmadığından, Kullanıcı'ya karşı doğrudan herhangi bir hukuki sorumluluk üstlenmez.
08Lisans ve Ücretlendirme
Platform farklı lisans seviyeleri sunabilir. Ücretsiz deneme süreleri, kullanım limitleri ve ücretli planların detayları Platform içinde belirtilir. Faturalama ve tahsilat Tworks tarafından gerçekleştirilir. Tworks, fiyatlandırma ve plan içeriklerini önceden bildirimde bulunarak değiştirme hakkını saklı tutar.
09Fesih
Kullanıcı hesabını istediği zaman kapatabilir. Bu koşulların ihlali halinde Tworks, hesabı önceden bildirim yaparak askıya alabilir veya sonlandırabilir. Fesih durumunda Kullanıcı verileri 30 gün içinde silinir.
10Uygulanacak Hukuk
Bu sözleşme Türkiye Cumhuriyeti hukukuna tabidir. Uyuşmazlıklarda İstanbul Mahkemeleri ve İcra Daireleri yetkilidir.
11Değişiklikler
Tworks bu koşulları güncelleme hakkını saklı tutar. Önemli değişiklikler Platform üzerinden veya e-posta yoluyla bildirilir. Güncellenen koşulları kullanmaya devam etmek, değişikliklerin kabul edildiği anlamına gelir.

This agreement governs the use of the Controlio Security® platform provided by Tworks Bilişim Hizmetleri Tic. Ltd. Şti. ("Tworks"). The intellectual and industrial property rights to the Platform are owned by ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti. ("Licensor"), which has granted Tworks an exclusive commercial license. By using the Platform, you agree to these terms.
01Definitions
"Platform" refers to the Controlio Security application accessible at controlio.ai; "User" refers to any individual or entity that accesses the Platform via a Microsoft 365 account; "Provider" / "Tworks" refers to Tworks Bilişim Hizmetleri Tic. Ltd. Şti., which is the contractual counterparty to the User; "Licensor" / "ÇEBİ Yazılım" refers to ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti., the intellectual property owner of the Platform. Tworks offers the Platform to the User under an exclusive commercial license obtained from ÇEBİ Yazılım.
02Scope of Service
Controlio Security is a SaaS platform that performs cybersecurity assessments of Microsoft 365 environments. The Platform provides automated security evaluations based on CIS, NIST, ISO 27001, Microsoft Security Baseline, and other frameworks. Results are for informational purposes only and do not constitute a binding security audit.
03Account and Access
Access to the Platform is provided through Microsoft Entra ID (Azure AD). Users are responsible for the security of their Microsoft 365 credentials. The Platform accesses data through Microsoft Graph API permissions authorized by the User in read-only mode. No data is modified, deleted, or created.
04Data Processing and Security
Data processed by the Platform is hosted on Microsoft Azure cloud infrastructure. Scan results belong to the User's tenant and are accessible only by the associated account. Under Turkish data protection law (KVKK), Tworks acts as the data controller. For details on data processing, please refer to our Privacy Policy.
05Prohibited Uses
Users agree to use the Platform in compliance with applicable laws, principles of good faith, and this agreement. The following activities are strictly prohibited unless prior written consent is obtained:
- Reverse engineering: Decompiling, disassembling, deobfuscating, or otherwise attempting to derive the source code, algorithms, or underlying ideas of the Platform by any means.
- Derivation and reproduction: Copying, reproducing, or creating derivative works based on the Platform in whole or in part, or integrating it into other software.
- Circumvention of technical protections: Disabling or bypassing license validation, authentication, rate limiting, obfuscation, minification, or any other technical protection measures.
- Unauthorized access and security testing: Conducting penetration tests, vulnerability scans, fuzzing, or load testing — or attempting to access other users' data — without Tworks' prior written authorization.
- Automated data extraction: Using bots, crawlers, scrapers, or similar automated tools to extract data from the Platform; using APIs beyond their intended scope or in an excessive manner.
- Commercial redistribution: Sublicensing, leasing, selling, white-labeling, or repackaging the Platform as a service to third parties.
- Competitive product development: Using the Platform or its outputs as a reference, training data, or design source to develop a competing product or service.
- Removal of notices: Removing, altering, or obscuring any trademark, logo, copyright, or patent notices on the Platform.
- Misuse: Using the Platform to generate unlawful content, distribute malware, send spam, commit fraud, or infringe third-party rights.
Violation of this section constitutes grounds for immediate suspension or termination of the account, without prejudice to additional claims for damages.
06Intellectual and Industrial Property Rights
6.1 Ownership
All intellectual and industrial property rights related to the Controlio Security Platform — including but not limited to source code, compiled code, user interface designs, visual elements, logo, iconography, color palette, typography choices, architectural design, data models, security control catalogs (including SP_MAP), scoring algorithms, framework mappings (CIS, NIST, ISO 27001), documentation, training materials, and overall "look and feel" — are exclusively owned by ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti. Tworks is authorized to offer, market, and support the Platform under the exclusive commercial license granted by ÇEBİ Yazılım. The Platform is protected under Turkish Law No. 5846 on Intellectual and Artistic Works, Law No. 6769 on Industrial Property, and applicable international treaties.
6.2 Trademark Rights
The "Controlio" and "Controlio Security" names, logos, and design elements are registered or pending registration with the Turkish Patent and Trademark Office (TÜRKPATENT) in the name of ÇEBİ Yazılım Hizmetleri Tic. Ltd. Şti.; Tworks uses these marks under license. Use of the ® and ™ symbols depends on the registration status. Use, imitation, registration of similar marks, or adoption of these marks in domain names or social media accounts without prior written permission is prohibited.
6.3 Limited License Grant
For the duration of this agreement and within the scope of the purchased license tier, Tworks grants the User a non-personal, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the Platform. This grant does not constitute a transfer of any rights other than those expressly permitted in this agreement. All rights not expressly granted are reserved by ÇEBİ Yazılım Hizmetleri.
6.4 Feedback and Suggestions
Any feedback, suggestions, ideas, bug reports, or improvement requests submitted by the User regarding the Platform ("Feedback") shall be deemed assigned to both Tworks and ÇEBİ Yazılım Hizmetleri on a worldwide, perpetual, irrevocable, and royalty-free basis, without additional compensation or obligation. Tworks and ÇEBİ Yazılım may use, integrate, and commercialize such Feedback for any purpose.
6.5 Trade Secrets
The Platform's source code, architecture, unreleased features, pricing strategy, customer lists, and internal algorithms constitute trade secrets under the Turkish Commercial Code and unfair competition provisions. The User agrees not to share, copy, or use for personal benefit any trade secret information they may become aware of while using the Platform.
6.6 Third-Party Components
The Platform may include open source or third-party components used under their respective license terms. Such license terms are reserved and do not affect ÇEBİ Yazılım Hizmetleri's rights over the Platform as a whole.
6.7 Enforcement
In case of any violation of the rights set forth in this section, ÇEBİ Yazılım Hizmetleri and/or Tworks reserve all legal and criminal remedies available under applicable law, including but not limited to injunctive relief, removal of infringing content, and claims for monetary and moral damages. Software piracy carries criminal liability under Turkish Law No. 5846.
07Limitation of Liability
The Platform is provided "as-is." Scan results are informational and do not guarantee complete security. Tworks does not warrant uninterrupted or error-free operation. Tworks' liability for any direct or indirect damages arising from the use of the Platform is limited to the service fees paid by the User in the preceding 12 months. As ÇEBİ Yazılım Hizmetleri is not a contractual counterparty to the User, it assumes no direct legal liability towards the User.
08Licensing and Pricing
The Platform may offer different license tiers. Free trial periods, usage limits, and paid plan details are specified within the Platform. Invoicing and collection are handled by Tworks. Tworks reserves the right to modify pricing and plan contents with prior notice.
09Termination
Users may close their accounts at any time. Tworks may suspend or terminate accounts with prior notice in case of violation of these terms. Upon termination, user data will be deleted within 30 days.
10Governing Law
This agreement is governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul shall have jurisdiction over any disputes.
11Changes
Tworks reserves the right to update these terms. Significant changes will be communicated through the Platform or via email. Continued use of the Platform after updates constitutes acceptance of the revised terms.
